WHEREAS, Assignor is party by assignment to that certain Third Amended and Restated Fee in Lieu of Tax and Incentive Agreement, dated as of December 14, 2015, originally executed by and among HLIT IV SC-1, L.P., HLIT IV SC-2, L.P. and the County, as amended by that certain Amendment to Fee in Lieu of Tax Agreement dated as of September 26, 2016 and that certain Second Amendment to Fee in Lieu of Tax Agreement dated as of October 23, 2017 (as amended, restated, supplemented, modified and assigned, the “FILOT Agreement”), a true, correct and complete copy of which is attached as Exhibit A hereto and incorporated herein by reference; and
