THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), which is dated for reference purposes only as of the 4th day of April, 2013, is made by and among Aldercreek Vineyards, LLC, a Washington limited liability company, and Windy Ridge Vineyard, LLC, a Washington limited liability company (collectively, “Seller”) acting by and through Shelly Crocker (“Receiver”), solely in her capacity as general receiver pursuant to the proceedings currently pending before the Klickitat County Superior Court under civil cause No. 12-2-00030-7 and adjunct proceeding thereto under civil cause No. 13-2-00076-3 (the “Receivership Action”), and the buyer referenced in Section 1.1 below (“Buyer”) (Buyer and Seller are referenced herein, individually and collectively, as a “Party” or the “Parties”).
