(the “Effective Date”) by and between InfoLibrarian Corporation, a New York corporation with its principal place of business located at 160 Linden Oaks Office Park, Rochester, New York 14625 (“InfoLibrarian” or “Licensor”) and (“Customer”)_sets forth the terms and conditions under which InfoLibrarian agrees to license to Customer and Customer agrees to license from InfoLibrarian the InfoLibrarian Metadata Integration Appliance™, including the software, hardware and related documentation (the "Appliance") as more particularly described on Attachment A hereto.
