NETWORK, L.L.C. (the “Company”), a limited liability company organized pursuant to the North Carolina Limited Liability Company Act, as amended, is executed effective as of the date set forth on the cover page of this Agreement, by and among the Company and the Persons executing this Agreement as the Members. Capitalized terms used herein and not defined in context are defined in Article II. In consideration of the mutual promises and covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree that the rights and obligations of the parties and the administration and dissolution and winding-up of the Company shall be governed by this Agreement, the Articles of Organization and the Act.
