These terms and conditions of sale (the “Agreement”) are applicable to any order placed by Taylor Corporation, or its applicable affiliates (each, “Taylor”), with you (“Company,” and together with Taylor, each a “Party” and together the “Parties”). In the event that the Parties have entered into any enforceable written agreement executed by both Parties (“Other Agreement”), the terms and conditions set forth in such Other Agreement shall control and supersede over any conflicting terms in this Agreement.
