This Consultancy Agreement (“Agreement”) is entered on the date of last signature of the parties (the “Effective Date”) by and between Research Triangle Institute, d/b/a RTI Health Solutions (“RTI” or “RTI-HS”) located at 3040 East Cornwallis Road, Research Triangle Park, NC, 27709 USA, Tax ID: 56-0686338, and Agenzia regionale di sanità della Toscana located at Via Pietro Dazzi, 1, Firenze, Italy 50141 (“Consultant”). (RTI and Consultant are each a “Party” or collectively the “Parties”). RTI desires to collaborate with Consultant in support of the provision of services by RTI to a third party (” Sponsor”) in support of RTI Project No. 0306081, and Consultant agrees to perform the services in support of that project under the following terms and conditions:
