THIS MEMORANDUM OF UNDERSTANDING (the “Agreement”) is entered into as of the effective date set forth below by and between the DOWNTOWN DEVELOPMENT AUTHORITY OF AVONDALE ESTATES (the “DDA”), a downtown development authority and public body corporate and politic duly created by the Downtown Development Authorities Law, O.C.G.A. Section 36-42-1, et seq., as amended (the “Act”) and activated by resolution of the governing body of the City of Avondale Estates, Georgia (the “City”), and KDP 3048, LLC, a Georgia limited liability company (the “Company”), each a “Party” and collectively the “Parties.”
