This Professional Services Agreement (“Agreement”) is made and entered into effective as of the day of , 2019 (“Effective Date”) by and between Headwaters, Inc., with its corporate office having an address of Post Office Box 2836, Ridgeland, Mississippi 39158, (“Consultant”) and the Madison County Board of Supervisors (“Client”), having an address at Post Office Box 608, Canton, Mississippi 39046-0608. Consultant and Client are sometimes referred to herein individually as “Party” and collectively as “Parties”.
