Tobira Therapeutics, Inc., a Delaware corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell an aggregate of [# of firm shares] shares (the “Firm Shares”) of the Company’s common stock, $0.0001 par value per share (the “Common Stock”), to the several underwriters named in Schedule I (collectively, the “Underwriters”), for whom BMO Capital Markets Corp. Homeowners Choice, Inc., a Florida corporation (the “Company”), proposes to sell to the several underwriters (the “Underwriters”) named in Schedule I hereto for whom you are acting as representative (the “Representative”) an aggregate of 1,600,000 shares of the Company’s Common Stock, no par value (the “Firm Shares”). The Company also proposes to sell, at the Underwriters’ option (“Over-allotment Option”), an aggregate of up to 240,000 additional shares of the Company’s Common Stock (the “Option Shares”) as set forth below.
