In November 2022, Diamond entered into confidentiality agreements (the “NDAs”) with certain holders of its funded indebtedness (the “Consenting Creditors”) pursuant to which Diamond agreed to publicly disclose certain information provided to the Consenting Creditors, including material non-public information, related to the negotiation by and among Diamond, the Consenting Creditors, and Sinclair Broadcast Group, Inc. (“Sinclair”) upon the occurrence of certain events set forth in the NDAs. On March 15, 2023, Diamond and the Consenting Creditors reached agreement on the terms of a restructuring transaction to be implemented in connection with Diamond’s chapter 11 cases and emergence therefrom, which has been documented in the restructuring support agreement attached hereto as Exhibit A (the “Restructuring Support Agreement”).
