This Master Services and Purchasing Agreement (“Agreement”) is between Axon Enterprise, Inc., a Delaware corporation (“Axon”) and Cobb County, Georgia on behalf of its Police Department (hereinafter referred to as the “Agency” and/or “Police Department”), funding for the Police Department having been approved by the Cobb County Board of Commissioners. This Agreement is effective upon the date of the last signature below (“Effective Date”), subject to the term and termination provisions herein. Axon and Agency are each a “Party” and collectively “Parties”. This Agreement governs Agency’s purchase and use of the Axon Devices and Services detailed in the Statement of Work and Quote (“SOW” and/or “Quote”) attached hereto as Exhibit A and Exhibit E respectively.In consideration of the promises contained herein, and for other good and valuable consideration, the Parties agree as follows:
