This mutual release and settlement agreement (this “Agreement”) is executed between DIVERSIFIED PARTNERS, LLC, an Arizona limited liability company, (“DIVERSIFIED”), WNDG HOLDINGS, LLC, an Arizona limited liability company, (“WNDG”), KE CS Holdings One LLC, a Delaware Limited Liability Company (“KE”), and THE CITY OF TEMPE (the “CITY”) and is effective as of May , 2020. DIVERSIFIED, WNDG, KE, and the CITY may be referred to herein collectively as the “PARTIES” and individually as PARTY. DIVERSIFIED and WNDG may be referred to herein collectively as the “APPLICANT PARTIES.”
