This AGREEMENT AND PLAN OF MERGER (this "Agreement"), dated as of April , 2001, is made by and between Liberty Mutual Holding Company, a Massachusetts mutual holding company ("Liberty Mutual Holding Company”), and Employers Insurance of Wausau Mutual Holding Company, a Wisconsin mutual holding company ("EIOW MHC"). Liberty Mutual Holding Company and EIOW MHC are sometimes referred to herein as the "Constituent Companies". Capitalized terms used in this Agreement are defined in Article I.
