This Construction and Maintenance Agreement, hereinafter referred to as the “AGREEMENT”, made and entered into by and between the STATE OF ILLINOIS, acting by and through its Department of Transportation, hereinafter referred to as the "STATE", the WISCONSIN CENTRAL LIMITED (WCL), hereinafter referred to as the "COMPANY", and the VILLAGE OF BARRINGTON, an Illinois home rule municipality, hereinafter referred to as the "VILLAGE", collectively referred to as the “PARTIES” and individually referred to as a “PARTY”.
