THIS PURCHASE AND SALE AGREEMENT (“Agreement”) is made and entered into as of the Effective Date (as defined herein), by and between THE CITY OF HANAHAN, a body politic and corporate and a political subdivision of the State of South Carolina, its successors and assigns (“Seller”), and BERKELEY COUNTY SCHOOL DISTRICT, a body politic and corporate and a political subdivision of the State of South Carolina, its successors and assigns (“Buyer”). Buyer and Seller being collectively referred to herein as the “Parties,” and each of the Parties being individually referred to herein as a “Party.” “Effective Date” means the date following the signature of the last party to sign this Agreement.
