Reference is made to the irrevocable trust agreement number 1721 dated May 28, 2014 (as the same may be amended from time to time, the “Trust Agreement”), entered into among Prologis Property México, S.A. de C.V., as settlor and manager (“Prologis,” the “Settlor,” or the “Manager,” indistinctively), Banco Actinver, S.A., Institución de Banca Múltiple, Grupo Financiero Actinver, División Fidicuaria, as trustee (the “Trustee”), and Monex Casa de Bolsa, S.A. de C.V., Monex Grupo Financiero, as common representative (the “Common Representative”), which created the Mexican real estate trust known as FIBRA Prologis (“FIBRA Prologis”). Capitalized terms used and not otherwise defined herein have the meanings assigned to such terms in the Trust Agreement.
