In connection with the owners/sellers (the "Owners") of the business referenced as Project Daytona (the "Business"), considering a sale of the Business, this Confidentiality Agreement (this "Agreement") will confirm our mutual understanding of the terms under which the Owners or Water Street Advisors, LLC (the "Consultant") will provide, and the undersigned (the "Potential Buyer") will receive, information regarding the Business. The Owners and the Potential Buyer are referred to herein as a "Party" or collectively as the "Parties."
