This LIQUIDATING TRUST AGREEMENT is made this 3rd day of June, 2022 (this “Agreement”), by and among Strike, LLC (“Strike”) on behalf of itself and the other Debtors, as settlors, and Redan Advisors LLC, as trustee of the Liquidating Trust referred to herein (in such capacity, the “Liquidating Trustee”), and creates and establishes the Liquidating Trust (the “Liquidating Trust”) referenced herein in order to facilitate the implementation of the plan of liquidiation (the “Plan”) as set forth in the Second Modified Combined Disclosure Statement and Joint Chapter 11 Plan of Liquidation of Strike, LLC and Its Affiliated Debtors dated May 16, 2022 (as the same may be amended, supplemented, or otherwise modified from time to time in accordance with the terms and provisions thereof and including the Plan Supplement). Each Debtor and the Liquidating Trustee are sometimes referred to herein individually as a “Party” and, collectively, as the “Parties.”
