Morgan Stanley & Co. LLC and RBC Capital Markets, LLC (collectively, the “Remarketing Agents”) hereby offer to enter into this Remarketing Agreement with the Contra Costa Transportation Authority (the “Authority”), which, upon the Authority’s acceptance hereof, will be binding upon the Authority and the Remarketing Agents. This offer is made subject to the written acceptance of this Remarketing Agreement by the Authority and the delivery of such acceptance to the Remarketing Agents or their attorney at or prior to 6:00 p.m., Pacific time, on the date hereof, and, if not so accepted, will be subject to withdrawal by the Remarketing Agents upon notice delivered to the Authority at any time prior to the acceptance hereof by the Authority.
