EMPLOYMENT AGREEMENT EMPLOYMENT AGREEMENT dated as of November 1, 2002 between Mark E. Jalbert (the "Executive") and Helix Technology Corporation, a Delaware corporation (the "Company"). The Company and the Executive desire to enter into this Agreement to provide for the continued employment of the Executive by the Company upon the terms and subject to the conditions set forth herein. Accordingly, in consideration of the premises and the mutual agreements contained herein, the parties hereby agree as follows: 1. Employment; Term. (a) Employment.
