THIS MEMBERSHIP INTEREST TRANSFER AGREEMENT (this “Agreement”), dated as of September , 2018 (the “Execution Date”), is made and entered into by and among BIOMEDICAL RESEARCH FOUNDATION OF NORTHWEST LOUISIANA, a Louisiana nonprofit corporation (“BRF”), and OCHSNER LSU HEALTH SYSTEM OF NORTH LOUISIANA, a Louisiana nonprofit corporation (“OLHS-NL”). OLHS-NL and BRF are sometimes individually referred to herein as a “Party” and collectively as the “Parties.”
