This document sets forth the Terms & Conditions of Sale for goods manufactured and/or supplied (“Goods”), and services provided (“Services”), by G. Lufft Mess- und Regeltechnik GmbH, Germany (“Lufft”) and sold to the original purchaser thereof (“Buyer”). Unless otherwise specifically stated herein, the term “Lufft” includes only G. Lufft Mess- und Regeltechnik GmbH and none of its affiliates. These Terms & Conditions of Sale establish the rights, obligations and remedies of Lufft and Buyer which apply to any offer by Lufft and any resulting order or contract for the sale of Lufft’s “Goods” and/or “Services”. The following Terms & Conditions of Sale in principle apply to both Goods and Services (jointly referred to as “Products”) except for Clauses that specifically refer to Goods or Services only and except for Clause 14 which lists those provisions separately that have different or additional regulations for Lufft’s provision of Services. 1.
