This Settlement Agreement (“Agreement”) is made and entered into this 18th day of January 2018 (“Execution Date”) by and between Continental Automotive Electronics LLC, Continental Automotive Korea Ltd., and Continental Automotive Systems, Inc. (collectively, “Continental”), and End-Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of a class of indirect purchasers of Instrument Panel Clusters (the “Settlement Class”), as more particularly defined in Paragraph 12 below.
