Details of Subscription: The undersigned (the “Subscriber”) hereby irrevocably subscribes for and agrees to purchase from the Company, on the terms and conditions set forth herein and in the attached schedules, that number of Class A Non-voting, Preferred Shares of the Company set out below (the “Shares”) at a price of $1.00 per Share. The Shares subscribed for in this Agreement form part of a larger private placement of up to 10,000,000 Shares being sold (the “Placement”).
