This SETTLEMENT AGREEMENT AND RELEASE (hereinafter “Agreement”) is entered into by and between the STATE OF CALIFORNIA AIR RESOURCES BOARD (hereinafter “CARB”), with its principal office at 1001 I Street, Sacramento, California, 95814 and VORTECH ENGINEERING, INC. (hereinafter “VORTECH”) with its principal place of business at 1650 Pacific Avenue, Oxnard, California 93033, (collectively, “The Parties,” or individually as a “Party”).
