This Memorandum of Understanding (“MOU”) is made by and among PacifiCorp, an Oregon corporation (“PacifiCorp”); Paris Relief Canal Company, an Idaho non-profit mutual water company (“Paris Relief”); Upper Southfield Irrigation Company, an Idaho non-profit mutual water company (“Southfield”); Trout Unlimited, a non-profit (“TU”); the City of Paris, an Idaho municipal corporation (“Paris”); and Eric, James, and John Mattson (“Mattsons”) each referred to individually as a “Party” and collectively as the “Parties.”
