This Agreement for the Sale of Goods (“Agreement”) is entered into by and between Microchip USA LLC, a Florida limited liability company, with its principal place of business at 4511 N. Himes Avenue, Suite 100, Tampa, Florida 33614, USA (the "Seller"), and the individual or entity submitting one or more Orders per the terms and conditions of this Agreement (the "Buyer") (collectively, “the Parties”; each, a “Party”). In consideration of the mutual promises and conditions expressed herein, and other good and valuable consideration, Seller and Buyer agree as follows:
