This settlement agreement (“Settlement Agreement”) is entered into by and among all of the parties in the above-captioned proceeding that are listed in footnote 1 hereto (collectively, “Settling Parties”), in order to resolve all issues in the above- captioned proceeding.1 In addition, each party listed in footnote 2 hereto (collectively, “Settlement Discussion Participants”), each of which is a party in this proceeding as of October 1, 2010, has authorized the ISO to state that each such Settlement Discussion Participant either supports or does not oppose the Settlement Agreement.2
