(“Agreement”) is made and entered into this 26th day of January 2022, by and among: (i) Hecate Energy Albany 1 LLC, a limited liability company organized and existing under the laws of the State of Delaware (“Hecate Energy 1”) and Hecate Energy Albany 2 LLC, a limited liability company organized and existing under the laws of the State of Delaware (“Hecate Energy 2”), (each individually “Interconnection Customer” and collectively the “Interconnection Customers”); (ii) Holcim (US) Inc., a corporation organized and existing under the laws of Delaware (“Affected System Operator”); and (iii) the New York Independent System Operator, Inc., a not-for-profit corporation organized and existing under the laws of the State of New York (“NYISO”). Each individual Interconnection Customer, Affected System Operator or the NYISO each may be referred to individually as a “Party” or collectively referred to as the “Parties.”
