WHEREAS, pursuant to the Bylaws of the Worldwide Alumni Association of the American University of Beirut ("WAAAUB"), an unincorporated division of AUB authorized by the Board of Trustees of AUB, WAAAUB is authorized to grant to duly qualified geographical-area and professional alumni organizations Charters from WAAAUB, granting those AUB alumni organizations certain rights, including, among other things, the right to operate as chapters of WAAAUB and to use the WAAAUB name and marks along with an appropriate geographical or professional designation as set forth in this Chapter Agreement; and WHEREAS, the Chapter, having satisfied the standards set forth in the WAAAUB Chapter Policies and Procedures Handbook (as may be amended from time to time, the "Chapter Policies") with respect to chapters of WAAAUB, desires to obtain a Charter, and WAAAUB is willing to grant a Charter to the Chapter, upon the terms and conditions hereinafter set forth.
