This Engagement Letter of the Lenders Environmental and Social consultant and the attached Appendices A, B, C, D, E and F (together form this “Agreement”) sets forth our agreement concerning your engagement (“Engagement”) by the Company to act as the independent Environmental and Social consultant (the “Consultant”, “Adviser” or “ESC”) for the Lenders (as defined below) with respect to the construction and operations of the Amur Gas Processing Plant, which is to be developed by Company near the town of Svobodny in the Amur Region of Russia (the “Project”). Your Engagement will be subject to the terms and conditions and compliance with the Confidentiality Agreement dated on 10.01.2017 No.50-0001/2017 between you and the Company (the “Confidentiality Agreement”).
