This letter, when accepted and countersigned by you, will constitute an agreement (the “Agreement”) by and between Music Event Management, Inc. (“MEMI”) and the City of Huber Heights, Ohio (the “City”) regarding the construction and management of a new outdoor amphitheatre to be located in the City (the “Amphitheatre”). MEMI and the City acknowledge that they will enter into a more formal agreement with provisions, among others, similar to this Agreement (the “Management Agreement”), the term of which shall be effective upon its execution. Until such time as the Management Agreement is executed by the parties, the terms of this Agreement, shall be binding as to the terms and conditions contained herein.
