This opinion is provided to you at the request of Spectrum Pharmaceuticals, Inc. (the “Company”), pursuant to Section [7(a)(vi)] of the Purchase Agreement, dated December [—], 2013 (the “Purchase Agreement”), between Jefferies LLC and RBC Capital Markets, LLC, as representative of the several Initial Purchasers listed in Schedule I thereto (collectively, the “Initial Purchasers”) and the Company. Capitalized terms below that are not otherwise defined shall have the meaning ascribed to them in the Purchase Agreement.
