THIS AGREEMENT of PIETZ PIZZA INVESTMENT GROUP, LLC (the "Company") is made as of August 21, 2007, by and between KENNETH B. DAVIS, Jr. and DANIEL O. BERNSTINE, (collectively, the "Members," and individually, a "Member") and COLIN D. PIETZ (the "Organizer"), solely for the purpose of making the acknowledgment at the end of this Agreement. Capitalized terms used in this Agreement without definition shall have the meanings assigned to them in Exhibit A, attached.
