Through this letter agreement (“Agreement”), the City of New York, acting through the New York City Law Department, engages Bart M. Schwartz (“BMS”), through Guidepost Solutions LLC (“Guidepost”), as Monitor pursuant to the terms of that certain Agreement entered into by the United States Department of Housing and Urban Development (“HUD”), the New York City Housing Authority (“NYCHA”) and the City dated January 31, 2019 (the “NYCHA Agreement”, attached as Exhibit 1). BMS shall lead, direct and have authority over all activities and decisions with respect to the services provided to the City under this Agreement. (BMS and Guidepost are collectively hereinafter referred to as “Guidepost” or the “Monitor”). This Agreement is subject to the NYCHA Agreement and any inconsistencies between this Agreement and the NYCHA Agreement shall be governed by the NYCHA Agreement, which is incorporated herein by reference, and definitions used therein shall have the same meaning in this Agreement.
