(a)Where these Standard Terms and Conditions and the order confirmation have mutual conflicts, the terms as stated in the Standard Terms and Conditions take priority. Invalidity of any clause of the Standard Terms and Conditions and/or an agreement to which these conditions apply, does not impact the validity of the remaining statements of these Standard Terms and Conditions. The Supplier warrants that it has all necessary consents, permissions and authorities to grant all rights and perform all obligations under this Agreement.
