DELL AUTO and the Company are interested in evaluating one or more potential business transactions between the parties. To properly evaluate these potential transactions, each party may provide the other party with certain of its confidential information. Because both parties desire to prevent their confidential information from becoming part of the public domain, they are entering into this Agreement to specify the types of confidential information that may be delivered from one party to the other and to describe the obligations of the party receiving the other party’s confidential information.
