(this “First Amendment”) is made as of October 20, 2022 among Blackjack Silver Corp., an Ontario corporation (“Purchaser”), Blackjack Silver Company LLC, formerly Butte Blackjack Operating LLC, a Delaware limited liability company (the “Company”), and ISLV Partners, LLC, a Delaware limited liability company (“Seller”). Purchaser, the Company, and Seller are referred to collectively as the “Parties,” and individually, a “Party.” Capitalized terms used but not otherwise defined in this First Amendment have the meanings ascribed to those terms in the Purchase Agreement (as defined below).
