THIS PROFESSIONAL SERVICES AGREEMENT (herein “Agreement”) is made effective and entered into as of the day of June, 2006 by and between the TOWN OF COLLIERVILLE, TENNESSEE, a Tennessee municipal corporation (herein the “TOWN”), EMERGENCY MEDICAL RESOURCES, PLLC, a Tennessee limited liability company (herein “EMR”), and JOSEPH E. HOLLEY, JR., M.D., a medical doctor licensed to practice such profession in the State of Tennessee (herein the “MEDICAL DIRECTOR”).
