TERMS AND CONDITIONS. Customer’s right to access and use the Element products and services specified in each Order Form mutually entered into hereunder are subject to all terms and conditions in this Master Subscription Agreement, including all schedules and attachments hereto (collectively, the "Agreement"). In the event of a conflict between any schedule or attachment to this Agreement, the order of precedence shall be as follows: Order Form and Schedule A. Except as otherwise provided in an Order Form or in Schedule A, all amounts are in U.S. dollars, all payments shall be made in U.S. dollars, all purchases of for Element Services hereunder are non-cancelable and all fees are non-refundable. This Agreement represents the entire agreement between the parties, and supersedes all prior or contemporaneous agreements, proposals or representations, written, oral or otherwise, concerning its subject matter.
