THIS LOAN AGREEMENT, dated as of December 1, 2016 (this “Loan Agreement”), among FIRST REPUBLIC BANK, a California chartered banking corporation (as further defined herein, the “Lender”), CALIFORNIA ENTERPRISE DEVELOPMENT AUTHORITY (the “Issuer”), a public entity duly organized and validly existing under the laws of the State of California (the “State”), and SANTA FE CHRISTIAN SCHOOLS, a California nonprofit religious corporation (as further defined herein, the “Borrower”).
