as of the 31 day of August, 2018 (the "Effective Date") by and among Moda, Inc., an Oregon corporation (the "Company"), Oregon Dental Service, an Oregon non-profit corporation ("ODS"), Moda Holdings Group, LLC, a Delaware limited liability company ("HoldCo", and together with ODS, "Stockholders") and Delta Dental of California, a California nonprofit corporation ("Purchaser") (each a "Party" and collectively, the "Parties").
