The Parties agree that their contractual relationship with respect to the School Gate Guardian (herein referred to as “SGG”) Services will be governed by (1) these Terms and Conditions (the “Terms”), (2) the applicable Purchase and Subscription Services Agreement (each, a “Subscription Agreement”), and (3) all Invoices and exhibits, schedules and terms and conditions referenced by or in the Terms and Subscription Agreement(s). Unless otherwise specified, capitalized terms in these Terms have the same meaning as those in the Subscription Agreement.
