THIS AMENDED AND RESTATED AGREEMENT (“Agreement”) is made and entered into at Sonora, California, this November 1, 2022 (“Effective Date”), by and between the County of Tuolumne (“County”) and Cal Sierra Disposal, a Waste Management company (“Franchisee”). This Agreement amends and restates that certain Franchise Agreement for Transferring, Processing, Transporting and Arranging for Disposal of Solid Waste, by and between the County and Cal Sierra Disposal, Inc. (the correct legal name of which is Cal Sierra Disposal), dated October 24, 1995, as amended on September 23, 1997, July 7, 1998, August 11, 1999, November 12, 2002, October 6, 2003 and October 13, 2009 (“Original Agreement”). This Agreement supersedes the Original Agreement in its entirety. In consideration of the premises and the terms and conditions herein contained, the parties hereto agree as follows:
