THIS SURETY AGREEMENT dated as of [ ], 2012 (the “Surety Agreement”) by and among the ALAMEDA CORRIDOR TRANSPORTATION AUTHORITY, a joint powers authority established under Article I, Chapter 5, Division 7, of Title 1 of the California Government Code and pursuant to an Amended and Restated Joint Exercise of Powers Agreement dated as of December 18, 1996, as amended, by and between the City of Long Beach and the City of Los Angeles (the “Obligor”), U.S. BANK NATIONAL ASSOCIATION, as trustee (the “Trustee”), the CITY OF LONG BEACH, acting by and through its Board of Harbor Commissioners (“POLB”) and the CITY OF LOS ANGELES, acting by and through its Board of Harbor Commissioners (“POLA” and, together with POLB, the “Surety Providers”).
