This Agreement shall be governed by the laws of the States of the United States of America and Washington, without reference to the rules governing the choice of laws. All actions related to this Agreement must be brought before federal or state courts in Seattle, Washington, D.C., and you irrevocably agree to the jurisdiction of such courts. You may not assign this Agreement by law or otherwise without our prior written consent. Subject to this restriction, this Agreement shall be binding, in force and enforceable on the Parties and their successors in title and on the authorised assignments. Failure by us to enforce strictly any provision of this Agreement shall not constitute a waiver of our right to enforce this provision or any other provision of this Agreement at a later date.
