This Master Services Agreement (“Agreement”) is made by and between Rimini Street, Inc. (“Rimini Street”), a Delaware corporation having a principal place of business at 3993 Howard Hughes Parkway, Suite 500, Las Vegas, Nevada 89169, and City of Tempe, Arizona (“Client”), having a principal place of business at 20 East Sixth Street, Tempe, Arizona 85281. Rimini Street and Client shall each individually be referred to as a “Party” and jointly referred to as the “Parties.” This Agreement is effective as of the date of the last signature of the Parties below (“Effective Date”).
