This Limited Liability Company Agreement (this "Agreement") of Ampere Technologies CF SPV, LLC, a Delaware limited liability company (the "Company"), is entered into as of March 21, 2023 by and among the Company, Ampere Technologies, Inc. (the “Manager”) and any other Person who, after the date hereof, becomes a Member in accordance with the terms of this Agreement (collectively, the "Members"). Unless otherwise noted or defined elsewhere in this Agreement, capitalized terms used in this Agreement have the meanings ascribed herein, as more fully set forth in ARTICLE X.
