(“Units”) in Pac One Fund, L.P., a Delaware limited partnership (the “Fund”), being made pursuant to that certain Confidential Private Placement Memorandum distributed concurrently with this Subscription Agreement (together, with all exhibits and attachments thereto, and ancillary documents provided therewith, the “Offering Materials”). The Fund is making the Offering exclusively to certain prospective investors who meet the requirements set forth in this Subscription Agreement. The General Partner of the Fund is PacOne, LLC, an Oregon limited liability company (the “General Partner”). The Fund will use the proceeds from the Offering to, among other items enumerated within the Offering Materials, to acquire loans secured by deeds of trust encumbering real property located inside and outside of Oregon, including, residential, commercial, multi-family, mixed use and unimproved properties (the “Purpose”). Subscribers to the Offering will enter into the Fund’s Limited Partnership Agreement
