The undersigned, Citigroup Global Markets Inc.(the "Representative"), on behalf of itself, Wells Fargo Bank, National Association, Raymond James & Associates, Inc., and Stifel, Nicolaus & Company, Incorporated (collectively, with the Representative, the "Underwriters"), offer to enter into this Certificate Purchase Contract (the "Purchase Contract") with The School Board of Brevard County, Florida (the "Board") and the Brevard County School Board Leasing Corp., as successor to the Florida School Boards Association, Inc. (the "Corporation"), which upon acceptance of this offer by the Board and the Corporation will be binding upon the Board and the Corporation and upon the Underwriters. This offer is made subject to written acceptance hereof by the Board and the Corporation at or before 11:59 p.m., local time, on the date hereof and, if not so accepted, will be subject to withdrawal by the Underwriters upon notice delivered to the Board and the Corporation at any time prior to the accept
